iStreet Network Ltd held its 38th AGM on September 26, 2025 via video conferencing, where all 16 resolutions were passed. Shareholders approved the adoption of financial statements for FY ending March 31, 2025, the re-appointment of Ms. Khyati Nahar as director, and the appointment of several directors including three Independent Directors (Mr. Ravikant Baheti, Mr. Eric Anklesaria, Mr. Satish Goel) and multiple Non-Executive Directors. Mr. Uttam Ishwarlal Dave was appointed as Chairman and Whole Time Director, and Mr. Rakesh Rathi was re-appointed as Managing Director. Of the 21.3 lakh total equity shares, about 7.14 lakh (33.54%) were polled, with the promoter group (holding 98.49 lakh shares) voting entirely in favour. All special resolutions including alteration of the Object Clause of the MOA, increase in authorised share capital, preferential issue of 4,88,33,333 equity shares, allotment of 9,60,00,000 warrants, and approval of related party transactions also passed with overwhelming majority.
The passing of all resolutions is routine but notable for shareholders because the company has cleared the way for a large preferential share and warrant issuance (over 14.48 crore new instruments combined), which could lead to significant equity dilution and capital infusion in the coming months. Investors should watch for announcements on the pricing and allotment of these preferential issues.
