ITC's board, on 1st August 2025, approved merging its two wholly owned subsidiaries — Sresta Natural Bioproducts (SNBPL), which runs the '24 Mantra Organic' packaged foods brand (FY24 turnover ₹226.6 cr, assets ₹160.6 cr), and Wimco Limited (FY25 turnover just ₹2.6 cr, largely dormant) — into itself under Sections 230-232 of the Companies Act, 2013. Because both are fully owned by ITC, all their shares held by ITC will simply be cancelled, so no new shares will be issued and ITC's shareholding pattern stays unchanged. The appointed effective dates are 13 June 2025 for SNBPL and 1 April 2025 for Wimco. The rationale is to fold the organic foods business directly into ITC's FMCG arm, cut overheads, gain supply-chain and distribution synergies, and consolidate Wimco's 1-acre Ambernath land with ITC's neighbouring 17-acre parcel. The scheme still needs NCLT and other regulatory approvals before becoming effective.
No share dilution and no change in promoter holding — purely an internal consolidation. Integrating the fast-growing 24 Mantra Organic brand directly into ITC's FMCG fold could improve margins and operating efficiency, while the land consolidation in Ambernath offers a modest expansion optionality. Likely a neutral-to-slightly-positive read for the stock.
