ITC Limited has sold its entire 39.32% stake in Delectable Technologies Private Limited (DTPL), comprising 7,759 compulsorily convertible preference shares and 2,386 equity shares, to the company's founder Mr. Satvik Sarwade. The sale was completed on 13th May 2025 for a total consideration of ₹1,01,450 (at face value). DTPL contributed only ₹4.8 crores in revenue (0.007% of ITC's total revenue) and had a net worth of just ₹3.2 crores (0.005% of ITC's net worth) in FY24, and had already significantly downsized its operations during FY25. With this divestment, DTPL has ceased to be an associate company of ITC.
This is a financially insignificant transaction for ITC shareholders — the entity divested is negligible in size relative to ITC's overall business, and the consideration received is minimal. The move is essentially a portfolio cleanup of a non-core, underperforming associate and is unlikely to have any material impact on ITC's stock price or financial performance.
