ITCONS E-Solutions had allotted 1,00,40,000 warrants on a preferential basis in July 2024 at Rs. 71 per warrant, with an 18-month window to convert into equity shares. That window closed on January 29, 2026. The Board has approved the lapse of 60,60,400 warrants (worth about Rs. 43 crore at issue price) because the allottees failed to exercise them in time, while 39,79,600 warrants were already converted into shares. The company will forfeit the 25% upfront margin of Rs. 10.76 crore received on the lapsed warrants. No change in capital structure arises from the lapse, and the forfeited amount will be booked as income for the company.
Mildly negative signal as it indicates weaker-than-expected confidence from certain allottees, but the forfeited Rs. 10.76 crore is a small accounting gain for ITCONS. Shareholders face no further dilution from the lapsed warrants.
