Jagatjit Industries held its 80th AGM on 26 September 2025 via video conferencing, and all seven resolutions were passed with the requisite majority. On a voting base of 5,20,24,430 equity shares, shareholders approved the audited standalone and consolidated financial statements for FY 2024-25, the re-appointment of Mrs. Asha Saxena (who retires by rotation) as Director, ratification of Cost Auditors' remuneration, and appointment of Secretarial Auditors, each with effectively 100% support. Two special resolutions were also cleared: the re-appointment of Ms. Vidhi Goel as Independent Director for a second 5-year term (effectively 100%) and the restructuring of remuneration for Executive Director Ms. Roshini Sanah Jaiswal (99.99% in favour). The seventh resolution — a special resolution authorising the company to raise funds in one or more tranches through equity shares and/or other eligible securities — also passed with virtually unanimous support. Voting was conducted remotely via CDSL between 23–25 September 2025, with a cut-off date of 19 September 2025.
The fund-raising approval (Resolution 7) is the most material outcome for shareholders, as it gives the board broad authority to issue equity or convertible securities in future tranches, which could dilute existing shareholding depending on size and pricing. Director re-appointments and executive pay changes were all endorsed comfortably, signalling low shareholder dissent.
