Jagsonpal Pharmaceuticals has announced a buyback of up to 16 lakh fully paid-up equity shares at Rs. 250 per share, totaling Rs. 40 crore. This represents 2.39% of total paid-up capital and 18.35% of free reserves, within the regulatory 25% limit. The buyback price offers a premium of approximately 40% over recent market prices. The company, which is debt-free, generated Rs. 197 crore in free cash between FY2023-FY2025 and had Rs. 191 crore in free cash as of March 2026. Promoters and promoter group have confirmed they will NOT participate in the buyback. The record date is May 4, 2026.
The buyback provides an exit opportunity to shareholders at a 40% premium to current market prices. Since promoters are not participating, public shareholders can fully benefit. The company expects a 400 basis points improvement in ROCE and earnings per share should increase due to reduction in equity base.
