Jai Corp reported its Q1 FY26 results with standalone revenue from operations of ₹13,046 lakh, up about 8% from ₹12,055 lakh a year ago, driven entirely by the Plastic Processing segment. Standalone profit after tax jumped to ₹10,404 lakh from ₹1,301 lakh, and EPS rose to ₹5.93 from ₹0.73, but the big lift came from a one-time dividend of ₹9,256 lakh received from associate Urban Infrastructure Holdings Pvt Ltd (UIHPL) on a ₹37,197 lakh capital reduction. The board also declared a special dividend of ₹5 per share after quarter-end. The statutory auditor gave an unmodified (clean) opinion on standalone results but a qualified opinion on the consolidated results, flagging that UIHPL's quarterly numbers were unavailable and that ₹2,147 lakh of inter-corporate deposit interest from a subsidiary remains overdue with uncertain recoverability. The board re-appointed internal, cost, and secretarial auditors.
Headline profit surge is largely a one-off from the associate's capital payout, not from core operations, so the underlying earnings power is more modest. The special dividend is a clear near-term cash benefit for shareholders, but the qualified auditor opinion on consolidated accounts and the unresolved overdue ICD are minor governance red flags to watch.
