Jayant Agro-Organics Limited has completed the acquisition of Vithal Castor Polyols Private Limited (VCPL), making it a subsidiary. The Company acquired 40% of VCPL's total paid-up equity share capital and 80% of its total paid-up preference share capital. The acquisition was done for a total cash consideration of Rs. 25,37,44,403 (approximately Rs. 25.37 crore). VCPL operates in the chemicals sector and is engaged in the manufacturing of Bio Polyols, having been incorporated in August 2013. VCPL's turnover over the last three years ranged from Rs. 4,430 lakh (FY 2024-25) to Rs. 5,382 lakh (FY 2023-24), all based in India. The Company states the acquisition will enhance operational synergies and enable a more streamlined ownership structure.
The acquisition of VCPL as a subsidiary is expected to strengthen Jayant Agro's operational footprint in the chemicals space, particularly in bio polyols, which is in line with its existing castor oil business. The cash deal at ~Rs. 25.37 crore and the immediate completion indicate a straightforward transaction with no regulatory hurdles, which could be viewed positively by the market.
