Jayant Agro-Organics has informed the exchanges about a proposed internal restructuring among its promoters. The Udeshi Trust, which currently holds about 60.03% of the company (1.80 crore shares), will transfer approximately 1.67 crore shares (55.53% of share capital) to nine individual family members of the promoter group. Each of the nine acquirers will end up with around 18.51 lakh shares (6.17% each), up from very small holdings currently ranging from 0.03% to 1.37%. The trust's stake will drop sharply from 60.03% to just 4.50% post-transfer. No price has been disclosed as it qualifies as an inter-se transfer exempt from open offer rules under Regulation 10(1)(a)(ii). The transfer is expected to be executed on or after September 22, 2025.
This is purely an internal restructuring within the promoter family and does not change the total promoter group shareholding in the company. Shareholders should see no dilution or change in control; the stock price is unlikely to be materially affected since no outsider is entering or exiting the cap table.
