Jetmall Spices and Masala Ltd has announced the results of its Postal Ballot conducted via remote e-voting between September 2 and October 1, 2025. Out of 149 shareholders on record date (August 29, 2025), votes were polled on 3,832,400 shares, representing about 64% of the 59.93 lakh outstanding shares. All three resolutions were passed, including an Ordinary Resolution to increase the authorized share capital and amend the MoA, and two Special Resolutions — one to issue warrants convertible into equity shares to non-promoters on a preferential basis, and another to raise the company's limits for making investments, giving loans, and providing guarantees. The first two resolutions passed with 100% support, while the third passed with about 94.2% in favour.
The preferential issue of convertible warrants to non-promoters signals potential equity dilution for existing shareholders once the warrants are exercised. The increase in investment and lending limits gives management greater flexibility to deploy funds but also increases financial risk. Overall, the changes point to upcoming fundraising and capital expansion rather than any near-term shareholder rewards.
