Jetmall Spices and Masala Limited conducted a postal ballot (e-voting period: September 2 to October 1, 2025) on three resolutions, and all three were passed with 100% of polled votes in favor. The resolutions approved: (1) an increase in authorized share capital and related changes to the MOA, (2) issuance of warrants convertible into equity shares on a preferential basis to non-promoters, and (3) an increase in the company's limits for giving loans, investments, guarantees, and securities to other persons or bodies corporate. Out of 149 shareholders on the record date (August 29, 2025), 3,832,400 votes were polled, representing about 63.95% of the 5,992,900 outstanding shares. No physical postal ballot forms were received; all valid votes were cast through remote e-voting.
Shareholders should note that the preferential issue of convertible warrants to non-promoters will lead to equity dilution once the warrants are exercised. The higher authorized capital and expanded lending/investment limits also give the company more room for future fundraising and financial activity, which could further affect shareholding patterns.
