Jigar Cables Limited filed the results of its postal ballot (remote e-voting held from January 9 to February 7, 2026) with BSE on February 10, 2026. All four resolutions were passed with 100% votes in favour and zero dissent. The resolutions approved were: (1) material related party transactions with Ultracab (India) Limited (Ordinary Resolution), (2) ratification of the Cost Auditor's remuneration for FY ending March 31, 2026 (Ordinary Resolution), (3) increase in the company's borrowing limits under Section 180(1)(c) (Special Resolution), and (4) creation of charges/mortgages on the company's movable and immovable assets under Section 180(1)(a) (Special Resolution). Shareholder participation was notably low - only 12 out of 184 eligible members cast votes on most resolutions, representing 29.88% of paid-up equity capital (around 26.93 lakh shares), while the related party transaction saw just 10 members voting (1.70% of capital). Mr. Piyush Jethva, Practicing Company Secretary, served as the scrutinizer.
The approvals give the company expanded borrowing capacity and the ability to pledge assets as collateral, which could signal upcoming fundraising or expansion plans. The clearance for material transactions with Ultracab (India) Limited also removes a governance hurdle for related-party dealings. Low voter turnout (29.88%) and the SME listing suggest limited institutional scrutiny, though no shareholder opposed any resolution.
