JM Financial's wholly-owned subsidiary JM Financial Credit Solutions Limited (JMFCSL) has signed an Investment Agreement with Bajaj Allianz Life Insurance Company to sell 1.36 crore equity shares of JM Financial Home Loans Limited (JMFHLL) at Rs. 48 per share, aggregating Rs. 65.50 crore, representing about 2.10% of JMFHLL's equity capital. After the sale, JMFCSL's stake in JMFHLL will drop from 8.98% to 6.88%, and JM Financial's effective holding (through subsidiaries) will come down from 98.76% to 96.66%. JMFHLL contributed Rs. 368.45 crore in income (8.27% of consolidated income) and Rs. 797.43 crore in net worth (8.24% of consolidated net worth) for FY25. The deal is with a third-party investor, is not a related-party transaction, was signed on August 9, 2025, and is expected to close by August 31, 2025.
This is a small strategic stake sale to a marquee financial investor; JM Financial continues to retain near-total control (96.66%) of its home loans arm, so it is unlikely to materially affect shareholders' value or the stock price, but the entry of Bajaj Allianz signals validation and could open doors for further strategic tie-ups in the home loans business.
