JSW Dulux Limited (formerly Akzo Nobel India) held a board meeting on 23rd March 2026 with three key outcomes. First, it appointed Mr. Kaustubh Sudhakar Kulkarni as a Non-Executive Non-Independent Director; he currently serves as Group Head – Banking, M&A and Strategic Financing at JSW Steel Ltd and brings 29 years of finance experience. Second, it appointed Ms. Sutapa Banerjee as an Independent Director (Woman Director) for a three-year term ending 22nd March 2029; she has over three decades of experience in financial services and currently sits on boards of Eternal, Godrej Properties, Polycab, JSW Cement and others. Third, the board approved the 'JSW Dulux Limited – Employee Stock Option Scheme 2026' (ESOP 2026) covering 3,75,124 equity shares for eligible employees of the company, its subsidiaries and holding company. Shareholder approval for all these items will be sought through a postal ballot.
The Kulkarni appointment reinforces JSW Group's direct representation on the board following its takeover of the Akzo Nobel India business. The ESOP 2026 may lead to modest equity dilution (up to 3.75 lakh shares) and is designed to retain and motivate employees across the group, which is mildly positive for long-term alignment but neutral for near-term share price.
