JSW Dulux Limited (formerly Akzo Nobel India) held its Board meeting on 13 May 2026 and approved multiple items. The company reported audited standalone net profit of Rs. 19,177 million for FY 2025-26, up 347% from Rs. 4,286 million, largely due to Rs. 18,463 million in exceptional items from the slump sale of its Powder Coatings and International Research Center divisions. Revenue from operations declined to Rs. 35,992 million from Rs. 40,693 million due to the divestment. The Board recommended a final dividend of Rs. 50 per share, taking total dividend for FY 2025-26 to Rs. 206 per share (including Rs. 156 special interim dividend), up from Rs. 100 per share. Statutory auditors will change from Price Waterhouse to Deloitte Haskins & Sells for 5 years. Ms. Ritika Chopra was appointed as Senior Management Personnel (Head HR). JSW Paints acquired 61.2% stake in December 2025, making JSW the new promoter.
The significant profit increase driven by exceptional items from business divestment boosts near-term shareholder returns through higher dividends, but the revenue decline reflects the impact of the slump sale. The change in statutory auditors and new promoter indicates a transitional phase under JSW group ownership.
