JSW Energy Limited has received 'No adverse observations' from BSE and 'No objection' letter from NSE dated April 1, 2026, for the proposed Scheme of Arrangement involving demerger of GE Power India Limited (GEPIL) into JSW Energy. The exchanges have conveyed their no-objection under Regulation 37 of SEBI LODR, enabling the company to file the scheme with Hon'ble NCLT. SEBI had provided its comments on March 30, 2026, requiring disclosure of valuation reports, financials for 3 years, swap ratio rationale, and shareholder classification details. The observation letter validity is 6 months from April 1, 2026. The scheme remains subject to NCLT approval and other regulatory clearances.
This is a significant regulatory milestone for the proposed demerger. JSW Energy shareholders will receive shares in exchange for the demerged business from GE Power India. The transaction is moving closer to completion but still requires NCLT approval before becoming effective.
