JTL Industries held its 34th AGM on September 23, 2025 via video conferencing, with 62 members present. All 12 resolutions were passed with the requisite majority, including adoption of audited financial statements for FY25 and declaration of a final dividend of Rs. 0.125 per share (12.5% on face value of Re. 1) for public category shareholders. Shareholders approved the re-appointment of Mr. Madan Mohan (Managing Director), Mr. Dhruv Singla and Mr. Pranav Singla (Whole-time Directors), and the appointment of Mr. Jagdeep Kumar Goel as a Non-Executive, Non-Independent Director. A new JTL Industries Employee Stock Option Scheme (ESOP) 2025, including grants to subsidiary company employees, was also approved by special resolution. Voting was conducted via remote e-voting (Sept 20–22) and e-voting at the AGM through CDSL, with the Scrutinizer S.V. Associates confirming results.
Public category shareholders will receive a Rs. 0.125 per share dividend for FY25. The approval of the new ESOP 2025 may lead to equity dilution over time, while the re-appointments ensure leadership continuity. The AGM was routine, with most resolutions passing with over 99% support, though the ESOP resolutions saw relatively higher dissent of about 4.24%.
