Jyoti Structures Limited's Board, at its meeting on 20 July 2026, approved the Directors' Report for FY 2025-26 and cleared the Notice for the 51st Annual General Meeting. The key decision is an increase in the Authorised Share Capital from ₹256.30 crore to ₹320 crore, divided into 160 crore equity shares of ₹2 each (up from 128.15 crore shares). This is a rise of about ₹63.70 crore in the authorised capital ceiling. The change in the Capital Clause (Clause V) of the Memorandum of Association was also approved, but both items still require shareholder approval at the upcoming AGM. The Board meeting lasted just 30 minutes, from 4:00 PM to 4:30 PM IST.
Raising the authorised share capital is a preparatory step that gives the company room to issue more shares later — likely to fund growth, reduce debt, or raise fresh capital. Until shareholders approve the change and a further board decision is taken, no new shares are actually issued, so there is no immediate dilution or cost to current shareholders.
