Kaarya Facilities and Services Limited is raising up to Rs. 6.88 crore through a private placement issue at Rs. 13.09 per share (face value Rs. 10, premium Rs. 3.09). The offer consists of 45,60,000 equity shares to non-promoter allottees and 7,00,000 convertible warrants to promoters Vineet Pandey and Vishal Panchal (3.5 lakh each). The relevant date for pricing is August 29, 2025, with allotment to be completed within 15 days of BSE approval. Proceeds will be used for working capital and general corporate purposes. The issue will dilute existing shareholders by roughly 56%, with promoter stake reducing from 55.43% to 40.27%, though promoters are also subscribing to warrants showing continued commitment.
