In continuation of our letter dated May 27, 2025 titled Notice of Postal Ballot, we wish to inform you that based on the Postal Ballot through e-voting from the Members of the Company and as per the Scrutinizer s Report dated June 27, 2025 (enclosed as Annexure-A), the Special Resolution set out in the Notice of Postal Ballot dated May 6, 2025, has been declared as passed with the requisite majority. Kajaria Ceramics shareholders have approved the appointment of Mrs. Ambika Sharma (DIN: 08201798) as an Independent Director through a Postal Ballot. Out of 13,48,12,021 valid votes cast, 99.28% (13,38,47,622) voted in favour while only 0.72% (9,64,399) voted against. Mrs. Sharma will serve for five consecutive years from March 30, 2025 to March 29, 2030, and is not liable to retire by rotation. She holds a Master's in Business Economics from Delhi University (gold medalist) with 37 years of experience, including roles as the first lady Director General–International at FICCI and former Managing Director (India) at the U.S.-India Business Council. She is not related to any existing Director on the Kajaria board.
