KPIL made three separate disclosures to the exchanges on 27th February 2026. First, UAE authorities (Abu Dhabi Labour Court and Ministry of Human Resources and Emiratization) imposed two penalties totaling around INR 1.88 crores for violations related to the National In-Country Value Program (NAFIS) and Emiratization rules; the company says this is not significant. Second, at the request of Banco HSBC S.A. Brazil, KPIL remitted BRL 85.14 million to prepay a loan taken by its step-down Brazilian subsidiary Fasttel Engenharia S.A., against corporate guarantees of BRL 91.56 million it had earlier provided. Third, the Income Tax Department passed an assessment order for AY 2023-24 raising a tax demand of INR 1.80 crores (including interest of INR 17.07 lakhs), which the company plans to appeal.
The Brazil loan prepayment of BRL 85.14 million is the most material item, representing a sizeable cash outflow to settle subsidiary debt under corporate guarantees, though this appears to be a crystallisation of an already-guaranteed obligation. The UAE penalties and the income tax demand are minor in comparison. KPIL has stated that none of these matters have a significant impact on the company.
