Kanpur Plastipack Limited (KPL) has approved the acquisition of a 76.19% stake (16,000 equity shares) in UK-based Valex Ventures Limited from its promoter Mr. Manoj Agarwal for a total consideration of about ₹8.02 crore. The deal is a mix of share swap and cash — KPL will issue 3,33,700 new equity shares at ₹202.61 each (worth ~₹6.76 crore) to the promoter on a preferential basis, and pay the remaining ~₹1.26 crore in cash. Valex distributes FIBC (jumbo bags) in the UK market and posted FY25 revenue of GBP 11.68 lakh and net profit of GBP 29,052, showing strong growth from GBP 5.09 lakh in FY24. The acquisition will make Valex a subsidiary of KPL, giving it direct UK market access. The promoter Mr. Manoj Agarwal's stake in KPL will rise from 10.42% to 11.69% post-allotment. Shareholder approval will be sought at the AGM on September 8, 2025.
This acquisition expands KPL's geographical reach into the UK and gives it a distribution foothold for its core FIBC products, which is positive for long-term growth.
