This is to inform you that the 105th Annual General Meeting of Kansai Nerolac Paints Limited was held today i.e. Monday, 30th June, 2025, through Video Conferencing/Other Audio Visual Means, without the physical presence of the Shareholders at a common venue, in accordance with the Circulars issued by the MCA, SEBI, the provisions of the Companies Act, 2013 and SEBI Listing Regulations. The AGM commenced at 11 a.m. and concluded at 1 p.m. All the resolutions forming part of the Notice of the AGM, were approved by the shareholders through remote e-voting system as well as e-voting at the AGM with requisite majority. Details of the results of remote e-voting and e-voting at the AGM are enclosed as Annexure A, in terms of Regulation 44(3) of the SEBI Listing Regulations. The Consolidated Scrutinizer's report dated 30th June, 2025, pursuant to Section 108 of the Companies Act 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014, with respect to the results of remote e-voting and e-voting at the AGM is enclosed as Annexure B.

All 7 resolutions were approved with requisite majority, including adoption of FY25 financial statements, a dividend of ₹3.75 per share (including a ₹1.25 special dividend) on shares of ₹1 face value, re-appointment of Mr. Takashi Tomioka as a Non-Executive Director, appointment of Mr. Gen Yokota as a new Non-Executive Director, ratification of cost auditor D.C. Dave & Co.'s remuneration, and appointment of JHR & Associates as secretarial auditor for 5 years (FY26–FY30). The retirement of Mr. Hitoshi Nishibayashi, who did not seek re-appointment, was also noted. Most resolutions passed with near-100% approval, with the lowest support at 99.79% (for the director appointments).
Shareholders will receive a total dividend of ₹3.75 per share (including a special dividend), reflecting strong cash returns. All governance proposals were comfortably approved, indicating shareholder confidence, with no material dissent on any resolution.
