The Board of Kati Patang Lifestyle Ltd, at its meeting on February 21, 2026, approved the conversion of 54,35,000 warrants into equity shares at Rs. 10 per share. These warrants were originally issued on August 22, 2024, with 25% (Rs. 2.50) paid at issuance and the remaining 75% (Rs. 7.50) paid now, bringing in Rs. 4.08 crore from 15 allottees (3 promoter group and 12 non-promoter). This is the second and final tranche, following a prior conversion of 14,75,000 warrants on March 28, 2025. After this allotment, no warrants remain outstanding, and total paid-up equity shares have risen from 3,58,98,280 to 4,13,33,280 (about 15% increase in share count).
This is a completion of previously announced warrant conversion, so it is largely a known event with no surprise element. Share count rises ~15%, which will dilute existing shareholders, though the cash inflow strengthens the company's books. With zero warrants left, future equity dilution from this instrument is closed.
