Kavveri Defence reported FY2026 standalone revenue of Rs 510.21 lakh, a sharp decline from Rs 1,476.57 lakh in the previous year (down ~65%). PAT for FY2026 stood at Rs 81.17 lakh versus Rs 544.87 lakh prior year. The auditors issued a Qualified Opinion citing two key issues: (1) subsidiary investments of Rs 2,834.07 lakh lack fair valuation as some subsidiaries are incurring consistent losses with fully eroded net worth, making impairment assessment impossible under Ind AS 36; and (2) the company failed to reinstate forex balances for certain receivables/payables violating Ind AS 21. Cash flow from operations turned deeply negative at Rs -3,044.33 lakh. The board also revised MD and WTD/CFO remuneration subject to shareholder approval.
The Qualified Opinion and negative operating cash flow signal significant financial stress. The inability to verify Rs 2,834.07 lakh in subsidiary investments creates material uncertainty on asset values, while the 65% revenue decline raises serious concerns about business continuity.
