Kavveri Defence & Wireless Technologies announced that Ms. Nandita Singh has resigned as Company Secretary and Compliance Officer effective May 30, 2025, to pursue opportunities outside the company. Mr. Ashwin H Kumar, an ICSI Associate Member with about 9 years of experience in secretarial and legal matters, has been appointed as the new Whole-Time Company Secretary, KMP and Compliance Officer from June 2, 2025. The Board also approved audited standalone and consolidated financial results for FY25. On a standalone basis, the company swung to a profit of Rs. 544.85 lakhs from a loss of Rs. 85.73 lakhs in FY24, with total revenue rising sharply to Rs. 1,880.71 lakhs from Rs. 16.55 lakhs. However, the auditor flagged material uncertainty about the company's ability to continue as a going concern, noting accumulated losses of Rs. 8,563.45 lakhs, weak internal financial controls, no fixed asset register, and over Rs. 2.16 crore in overdue statutory dues.
The new Company Secretary appointment is a routine KMP transition and is unlikely to move the stock on its own. However, the FY25 profitability appears heavily supported by one-time write-backs of loans, provisions and trade payables rather than core operations, and the auditor's going-concern qualification raises serious red flags.
