Kavveri Defence & Wireless Technologies informed the exchanges that Ms. Nandita Singh has resigned as Company Secretary and Compliance Officer effective May 30, 2025, to pursue opportunities outside the company. Mr. Ashwin H Kumar, an ICSI Associate Member with about 9 years of experience, has been appointed as the new Whole-Time Company Secretary, KMP and Compliance Officer effective June 2, 2025. In the same board meeting, the company approved its audited standalone and consolidated financial results for FY25, reporting total revenue of around ₹18.81 crore and a net profit of ₹5.45 crore, reversing a loss of ₹0.85 crore in the previous year. The auditor (JK Chopra & Associates) issued a qualified opinion, flagging material uncertainty on going concern because the reported profit heavily includes write-backs of loans, provisions, trade payables and advances, and accumulated losses stand at around ₹85.6 crore.
The KMP change itself is a routine succession, but shareholders should note the auditor's qualified opinion and going-concern uncertainty, along with major income-tax disputes worth over ₹210 crore and overdue statutory dues. The headline profit is not from core operations and depends heavily on one-time write-backs, which is a red flag for sustainable earnings.
