Kaya Limited has announced the results of a postal ballot held to seek shareholder approval for changing the objects clause related to the utilization of funds raised through a previous preferential issue of equity shares. The special resolution was passed with overwhelming support, receiving 99.99% votes in favour (1,00,21,432 votes) against just 76 dissenting votes, out of a total of 1,00,21,508 votes polled by 112 members. Notably, promoters and promoter group, public institutions, and public non-institutions all voted 100% in favour of the resolution. The e-voting period ran from February 1, 2026 to March 2, 2026, representing a turnout of 65.98% on the total outstanding shares of 1,51,87,609.
The near-unanimous approval gives Kaya's board the flexibility to redirect proceeds from its earlier preferential equity issue toward different business objectives than originally disclosed. The strong, unified support across all shareholder categories (promoters, institutions, and retail) signals no governance friction, and is unlikely to move the stock materially since this is a procedural reallocation of already-raised funds.
