Kaya Limited has submitted the Scrutinizer's Report for the Postal Ballot conducted via remote e-voting, which concluded on June 11, 2025. Two Ordinary Resolutions were put to vote: (1) approval of material related party transactions with Mr. Harsh Mariwala for repayment of loans, and (2) approval of material related party transactions with Mr. Rajen Mariwala for repayment of loans. Both resolutions were passed with 99.36% votes in favour (1,58,173 votes) and only 0.64% against (1,013 votes). Only 105 members participated, representing 1.22% of total outstanding shares (1,30,97,541 shares). The promoter and promoter group, being interested parties, did not vote on either resolution.
Shareholders have approved the company's plan to repay loans owed to Harsh Mariwala and Rajen Mariwala (both from the promoter Mariwala family), signalling orderly debt clearance with related parties. Low voting turnout (1.22%) means the approval reflects only a small slice of minority public shareholders' sentiment.
