Kaynes Technology will invest up to USD 8.8 million (about INR 74-75 crore) into its Singapore-based wholly owned subsidiary, Kaynes Holding Pte. Ltd., by acquiring up to 87,12,872 additional equity shares at USD 1.01 each. Since Kaynes Holding is already a 100% subsidiary, the parent's stake stays at 100% — only the share count rises from 76.21 lakh to 1.63 crore shares, which is essentially a capital infusion. Kaynes Holding was incorporated in June 2024 and works in electronics system design and manufacturing along with strategic investments; it had zero revenue in FY25 but a net worth of about INR 65.3 crore. In a related move, the company is also issuing corporate guarantees of up to INR 250 crore to banks on behalf of Kaynes Canada Ltd, a step-down wholly owned subsidiary under Kaynes Holding. The investment is aimed at expanding the group's global electronics manufacturing footprint, with completion targeted by July 31, 2025.
No change in ownership structure since this is an internal capital infusion into a wholly owned subsidiary, so no shareholder dilution or related-party concern at the group level. However, the INR 250 crore corporate guarantee for Kaynes Canada adds a contingent liability that investors should monitor, though it is part of the consolidated group.
