Kerala Ayurveda Ltd reported a sharp deterioration in its FY25 financial performance, with standalone revenue from operations rising modestly to Rs. 7,268.92 lakhs from Rs. 6,803.65 lakhs (about 7% growth), but the company swung to a net loss of Rs. 1,377.98 lakhs versus a marginal profit of Rs. 5.32 lakhs in FY24. Total expenses surged to Rs. 9,134.18 lakhs, driven by a 75% jump in employee benefit costs (Rs. 2,023.31 to Rs. 3,551.57 lakhs) and an ESOP-related charge of Rs. 622.84 lakhs. The auditor (G. Joseph & Associates) issued a qualified opinion due to an unreconciled bank account balance of Rs. 3.85 lakhs, and an emphasis of matter was added for the restatement of prior period figures under Ind AS 8, which reduced other equity by nearly Rs. 960 lakhs. The board also approved doubling the ESOP pool from 6,66,640 to 12,03,245 shares and seeking shareholder approval for material related-party transactions with Ayurvedagram Heritage Wellness Centre, which exceeded prescribed limits in FY25.
Shareholders should note a steep swing to losses, a qualified audit opinion, and significant dilution risk from the expanded ESOP pool. An EGM on June 18, 2025 will seek approval for the ESOP expansion and ratification of large related-party transactions with Ayurvedagram Heritage Wellness Centre, both of which could weigh on the stock.
