The Preferential Issue Committee of Kesar India Limited has approved the detailed structure of a preferential issue of approximately ₹291.72 crore, first cleared by the Board on August 1, 2025. The package includes (a) 69,90,844 Fully Convertible Warrants at ₹350 each to promoters, promoter group members and several non-promoter individuals/entities, aggregating up to ₹244.68 crore; (b) 12,57,142 warrants at ₹350 each (up to ₹43.99 crore) to two promoter group members, where ₹10.99 crore will be adjusted against an existing unsecured loan and ₹32.99 crore will come in as cash; and (c) 86,856 equity shares at ₹350 each (up to ₹3.04 crore) to four non-promoter allottees. The issue price was fixed using July 29, 2025 as the Relevant Date under SEBI ICDR Regulations, and the warrants can be converted into equity within 18 months of allotment. Shareholder approval will be sought at the AGM scheduled for August 28, 2025.
This is a sizeable equity-linked fundraise (~₹291.72 crore) that will dilute existing shareholders once the warrants are converted, and the stock could see pressure around the record date and AGM. On the positive side, a chunk of the promoter group's earlier loan is being converted into warrant application money, which strengthens promoter skin in the game and cleans up the balance sheet.
