Kesar Terminals & Infrastructure Ltd held its 17th AGM on November 7, 2025, via video conferencing, chaired by Executive Chairman Harsh R Kilachand. Shareholders were asked to vote on 11 resolutions, including adoption of audited standalone and consolidated financial statements for FY ended March 31, 2025 (note: statutory auditors carried qualified opinions). Key resolutions included declaration of a final dividend of Rs. 1.50 (30%) per equity share, re-appointment of Rajinder Singh Laona as director, revision in statutory auditor fees, appointment of Dhrumil M. Shah & Co. LLP as secretarial auditors, and revision in remuneration of Executive Chairman Harsh Kilachand. Two new directors were proposed: Natasha Harsh Kilachand (non-executive promoter) and Mahesh Ambalal Kuvadia (independent director). Approval was also sought for material related party transactions with Kesar Enterprises Limited and for loan/investment powers under Sections 185 and 186 of the Companies Act.
Shareholders can expect a Rs. 1.50 per share final dividend once results are declared; however, the qualified auditor opinion on FY25 financials is a point worth monitoring. The revision in executive chairman remuneration and related party transactions with group company Kesar Enterprises Limited may attract shareholder attention.
