Khyati Multimedia Entertainment Ltd has filed its Annual Secretarial Compliance Report for the financial year ending 31 March 2025, as required under SEBI's Listing Regulations. The report, prepared by Practicing Company Secretary Kamlesh M Shah & Co., flags several compliance lapses during the year. BSE imposed a penalty of Rs 6,65,000 for violation of Regulation 17(1) regarding improper composition of the Board (insufficient independent directors and a non-executive promoter chairman). Additional fines were paid for late submission of the related-party transaction report under Reg 23(9) (Rs 11,800, two days late) and last year's ASCR under Reg 24A (Rs 2,360, one day late). Promoters' personal demat accounts were frozen by BSE for non-payment of a Rs 14,10,107 penalty, but all dues have since been cleared and the accounts defreezed. The report also notes that one independent director is not yet registered on the independent directors database and the company's website is not regularly updated.
While the company has now regularised most defaults and cleared penalties, the multiple BSE fines and frozen promoter demat accounts signal weak governance and compliance discipline, which is a negative for retail investor confidence. Investors should monitor whether board composition issues and director registration are resolved before the next AGM.
