CARE Ratings, the Monitoring Agency, submitted its quarterly report on Kilburn Engineering's Rs. 299.63 crore preferential issue (raised in November 2024). Out of the Rs. 279.66 crore cash portion being monitored, only Rs. 125.24 crore has been received so far because just 25% of the convertible warrants have been converted, and Rs. 124.83 crore has been deployed. The main use has been the Monga acquisition (Rs. 103.03 crore utilised out of Rs. 123 crore) and long-term working capital (Rs. 21.80 crore out of Rs. 39.63 crore). Debt repayment (Rs. 25 cr), capex (Rs. 13 cr), subsidiary investment (Rs. 25 cr) and general corporate purposes (Rs. 74 cr) have not begun. The report confirms no deviation from the stated objects and notes the company extended a Rs. 25 crore corporate guarantee for a subsidiary's bank facility in FY25.
Positive for transparency since there is no deviation from stated use of funds, but slow capital deployment (under half received in nearly a year) delays growth plans like capex and debt reduction. Investors should watch the pending warrant conversion and the Rs. 25 crore subsidiary guarantee as a small contingent risk.
