Kinetic Engineering's board approved the conversion of 31 lakh warrants into equity shares, allotted to the promoter group. The shares were issued at Rs. 171 each (Rs. 10 face value + Rs. 161 premium), bringing in roughly Rs. 39.76 crore to the company. Allottees include Arun Hastimal Firodia (1.5 lakh shares), Jayashree Firodia Trust (15.5 lakh shares), and Arun Firodia Trust (14 lakh shares). This was done as a preferential allotment under SEBI's ICDR Regulations. After this conversion, the promoter group still has about 48.73 lakh warrants pending conversion in the future.
This signals confidence from the promoter group, who are putting in their own money by converting warrants into shares. For shareholders, this means promoter skin-in-the-game increases, but also slight dilution since 31 lakh new shares are being added to the equity base.
