The Board of Kingfa Science & Technology (India) approved a preferential issue of up to 14,40,920 equity shares at Rs. 3,470 per share (including a premium of Rs. 3,460) to 7 non-promoter institutional investors, raising up to approximately Rs. 500 crore. Major investors include SBI Flexicap Fund (~Rs. 120 cr), SBI Conservative Hybrid Fund (~Rs. 124 cr), Custody Bank of Japan (~Rs. 95 cr), SBI Automotive Opportunities Fund (~Rs. 64 cr), and other SBI AIF schemes and Sanshi Fund. Post-allotment, these investors will collectively hold about 10.63% of the company, with SBI schemes alone accounting for over 8%. The Board also fixed September 17, 2025 as the EGM date to seek shareholder approval, September 29, 2025 as the 41st AGM date, and re-appointed Mr. K. Suryanarayanan as Cost Auditor for FY 2025-26.
Existing shareholders will face equity dilution of roughly 10-11% once the preferential issue is completed, but the Rs. 500 crore capital infusion signals strong institutional confidence, particularly from SBI Mutual Fund. The fundraise can support business expansion, debt reduction, or working capital needs, and may be viewed positively by the market given the marquee institutional names involved.
