Kirloskar Oil Engines held its 16th AGM on August 7, 2025, via video conferencing, where seven resolutions were passed. Shareholders approved the FY25 audited financial statements and a final dividend of Rs. 4 per share (200%), on top of the Rs. 2.50 per share (125%) interim dividend already paid, taking total FY25 dividends to Rs. 6.50 per share. Mr. Vinesh Kumar Jairath was re-appointed as a director retiring by rotation, and Ms. Gauri Kirloskar was re-appointed as Managing Director for three years from May 20, 2025. M.J. Risbud & Co. was appointed as Secretarial Auditor for five years (FY26–FY30). A special resolution approved allowing Arka Fincap Limited, a step-down material subsidiary, to sell or transfer assets up to Rs. 3,000 crore in any financial year. The meeting ran from 11:30 AM to 12:37 PM, with voting results to be filed separately.
Shareholders gain clarity on FY25 dividends and leadership continuity under Ms. Gauri Kirloskar, while the Rs. 3,000 crore asset transfer limit for Arka Fincap gives the NBFC arm significant flexibility to monetise loan receivables and grow its book, which could support group-level expansion but also adds execution risk.
