KMF Builders & Developers Ltd submitted its 30th Annual Report for FY 2024-25 to BSE. Total income collapsed from ₹2,055.48 lakhs to ₹345.39 lakhs — an roughly 83% year-on-year drop — while expenses stood at ₹346.91 lakhs, pushing the company into a pre-tax loss of ₹51.52 lakhs versus a profit of ₹65.39 lakhs last year. Net result was a loss of ₹51.10 lakhs (FY24: profit of ₹47.92 lakhs), and no dividend has been recommended. The board is seeking shareholder approval for related party transactions with the promoter family and group companies, including a cap of ₹700 lakhs on transactions with related firms, plus smaller limits for advance receivables, lease advances and loans to the Managing Director and his mother. The company's statutory auditor report carries no qualification, and a new secretarial auditor (Mr. Deepak Sadhu) is being appointed for a three-year term starting FY2025-26. The AGM is scheduled for September 23, 2025.
Sharply falling revenues and a swing back to losses are concerns for shareholders, although the auditor's report remains clean and books are prepared on a going-concern basis. Investors should watch the steep business slowdown and the size of related party transactions being placed before the AGM before taking a view on the stock.
