Mitesh Kothari, a promoter of Kothari Products Ltd, has disclosed two inter-se promoter group share transfers under Regulation 10(5) of SEBI (SAST) Regulations, 2011. In the first transaction, Deepak Kothari will transfer 200,000 shares (0.34% of share capital) to Mitesh Kothari on or after 27 March 2026. In the second transaction, Arti Kothari will transfer 600,000 shares (1.01%) to Mitesh Kothari. Both transfers are priced at Rs.72 per share, compared to the 60-day VWAMP of Rs.69, keeping the price within the 25% regulatory cap. Mitesh Kothari's holding will rise from about 4.64% to 5.99% post-transaction, while Arti Kothari will exit completely and Deepak Kothari's stake will reduce. As these are inter-se transfers among promoter group/immediate relatives under Regulation 10(1)(a)(i) and 10(1)(a)(ii), no open offer obligation is triggered.
This is a reshuffling of shares within the promoter family and does not change the total promoter group holding or trigger any mandatory open offer. It is neutral for outside shareholders and unlikely to materially affect the stock price, though Mitesh Kothari's individual stake crosses the 5% creep acquisition threshold.
