Kotyark Industries Limited has issued a postal ballot notice seeking shareholder approval for two ordinary resolutions. First, the company proposes to increase its authorised share capital from Rs. 23 crore to Rs. 200 crore by creating approximately 17.7 crore additional equity shares of Rs. 10 each, to broaden the capital structure and enable future issuances. Second, and more significantly, the company plans to issue bonus shares in a 10:1 ratio (10 bonus shares for every 1 share held), capitalising Rs. 102.79 crore from securities premium account and/or free reserves. This will result in issuance of about 10.28 crore new bonus shares. The board has also recommended a dividend of Rs. 5 per share for FY26, which will be adjusted proportionally post-bonus. Voting runs from May 17, 2026 to June 15, 2026.
The bonus issue is highly positive for existing shareholders as they receive 10 additional shares for every 1 share held at no cost, significantly increasing their holdings while the overall dividend payout remains similar.
