Kovai Medical Center & Hospital (KMCH) held its 39th Annual General Meeting on 22 August 2025. Voting was conducted through remote e-voting (NSDL); no shareholders voted via poll at the venue. A total of 126 members holding 67,41,087 shares participated (representing about 61.6% of total shareholding), with promoter group contributing 60,84,615 shares and public shareholders 6,56,472 shares. All 8 resolutions were passed with the requisite majority, including adoption of FY25 financial statements, declaration of dividend for FY24-25, re-appointment of Dr. Purani P Palaniswami as director, and special resolutions to re-appoint Dr. Thavamani Devi Palaniswami as Joint Managing Director with remuneration, to raise borrowing beyond paid-up capital and free reserves, and to create charges/mortgages on company assets. Worth noting: while promoter group voted 100% in favour on every resolution, public institutional investors were nearly split (about 50.5% in favour, 49.5% against) on the JMD re-appointment/resolution 4 and the borrowing/resolution 7, though overall results still passed comfortably.
For shareholders: dividend for FY24-25 is confirmed, and management has secured clearance to borrow beyond existing limits and pledge company assets. The significant public-institution dissent on the JMD remuneration and borrowing resolutions, though not enough to block them, signals some investor discomfort that retail shareholders may want to watch.
