KPIT Technologies has paid an initial consideration of USD 51 million to acquire 100% equity in Caresoft Global Technologies Inc (USA), Caresoft Engineering Services Ltd (UK), and CAREGLOTECH de RL de CV (Mexico). The total deal value was renegotiated down from the originally announced USD 191 million to up to USD 157 million, including USD 15 million in variable pay tied to revenue and synergy milestones. KPIT had earlier infused Euro 28 million and USD 28 million into its UK and US subsidiaries to facilitate the deal. This follows the August 8, 2025 update where the reduced consideration was finalized after factoring in changes in the macro business environment.
The lower renegotiated deal price is positive for KPIT shareholders, reducing cash outflow by about USD 34 million compared to the original announcement.
