CARE Ratings submitted its monitoring agency report for Kriti Industries' preferential warrants issue. The company raised only Rs.74.25 crore against the planned Rs.149.96 crore, as warrant holders of 63,69,000 warrants failed to convert them into equity shares within the 18-month deadline (by January 26, 2026). The warrants lapsed and were cancelled. The Board revised the overall objective downward to Rs.74.25 crore in its February 5, 2026 meeting. Of the funds raised, Rs.40 crore was used for working capital (completed in Q4 FY25), Rs.34.25 crore deployed for pipe expansion capex, and the General Corporate Purpose allocation of Rs.30 crore was eliminated. The company had onboarded a consultancy firm for the new manufacturing line setup. No further capital balance remains for the capex project.
The company faced a Rs.75.71 crore funding shortfall due to warrant non-conversion, forcing it to scale down its planned pipe manufacturing expansion significantly. Shareholders should note that the capex benefits originally envisioned may not fully materialize, and the company's interest burden could increase if it takes on debt to bridge the funding gap.
