Soma Papers has called an EOGM on 4 September 2025 (via video conferencing) to seek shareholder approval for five big resolutions. The headline item is a 33x jump in authorised share capital — from Rs 5 crore to Rs 165 crore — to make room for the new share issues. The company plans to issue shares and convertible warrants totalling roughly Rs 197 crore: about Rs 113.99 crore in cash preferential allotments (Rs 16.67 crore to new promoters at Rs 10/share and Rs 97.34 crore to 79 non-promoter public investors at Rs 20/share), Rs 34.59 crore in convertible warrants to the new promoter group, and Rs 48.74 crore worth of shares issued as a share-swap to acquire 100% of KS Smart Solutions Private Limited. The acquirers — Shankar Varadharajan and Anancha Perumal Selvi Keshav, along with three persons acting in concert — will trigger a mandatory SEBI open offer and become the new promoters of the company after the process completes.
This is a transformational event: change of control, entry into a new business via the KS Smart Solutions acquisition, and heavy equity dilution for existing shareholders. Investors should track the open offer price (to be announced separately), the relevant date of 5 August 2025 used for pricing, and expect sharp stock-price moves around the 4 September EGM and post-allotment.
