Magnum Ice Cream Company HoldCo 1 Netherlands B.V. (along with PACs) has opened a mandatory offer to acquire up to 61.09 crore equity shares (26% of voting capital) from public shareholders at INR 21.33 per share. This follows the already completed underlying transaction on March 30, 2026, where Magnum acquired 61.90% stake (145.44 crore shares) from the sellers for controlling the company. The offer price of INR 21.33 is below current market prices (NSE: INR 25.22, BSE: INR 25.23 as on April 15, 2026). The Independent Directors Committee found the offer price fair and reasonable based on independent valuations, but noted the market price is higher. Board changes include appointment of Abhijit Bhattacharya as Chairperson and Tahir Toloy Tanridagli as director. The tendering period runs from April 23 to May 7, 2026.
Shareholders may be reluctant to accept given the offer price of INR 21.33 is below market price of INR 25+; however, the mandatory nature of the offer ensures minority shareholders get an exit opportunity. Magnum now controls the company and is offering a minority stake exit.
