L.T. Elevator Limited has called an Extra Ordinary General Meeting on June 13, 2026 to seek shareholder approval for four key proposals. First, the company wants to increase its authorised share capital from Rs. 20 crore to Rs. 22 crore by adding 20 lakh new equity shares of Rs. 10 each. Second, it proposes to amend its Articles of Association to allow future issuance of convertible warrants and securities. Third, the company plans to allot up to 21,27,563 equity shares to non-promoters at Rs. 188 per share (including Rs. 178 premium), raising approximately Rs. 40 crore. Key allottees include Bandhan Small Cap Fund (10.8 lakh shares), Motilal Oswal Financial Services (2.66 lakh shares), and Gracious Advisors (2.66 lakh shares). Fourth, the company will issue up to 5,31,914 fully convertible warrants to Motilal Oswal and Gracious Advisors at Rs. 188 each, raising up to Rs. 10 crore, with 25% payable upfront and balance upon conversion within 18 months.
The preferential issue of equity shares and convertible warrants will bring in approximately Rs. 50 crore of fresh capital to the company, potentially strengthening its balance sheet and funding growth initiatives. Existing shareholders will see dilution as new shares are issued to institutional and non-promoter investors at Rs. 188 per share.
