Lancor Holdings has allotted 33,33,330 fully convertible warrants to its promoters on a preferential basis at Rs. 30 per warrant, aggregating to roughly Rs. 10 crore. The warrants were issued to Mr. Shekar Viswanath Rajamani (4,00,000 warrants) and Shyamala Shekar (29,33,330 warrants), both from the promoter group. Each warrant can be converted into one equity share of Rs. 2 face value within 18 months, with 25% of the issue price already received and the remaining 75% payable on conversion. The floor price calculated under SEBI ICDR rules was Rs. 29.04, so the issue is priced at a small premium to the floor. Paid-up share capital remains unchanged for now, since shares will be issued only upon warrant exercise.
This is a promoter-led capital infusion, signaling continued confidence from the founding family. If all warrants are converted, the combined promoter holding could rise meaningfully, with mild equity dilution for existing public shareholders.
