Laxmi Dental Limited is investing up to Rs. 40.91 crore in its wholly owned subsidiary Bizdent Devices Private Limited (BDPL) through a rights issue of 8,93,334 equity shares at Rs. 458 per share (face value Rs. 10, premium Rs. 448). The board had earlier raised its investment limit in subsidiaries from Rs. 20 crore to Rs. 55 crore. The funds will be used by BDPL for repaying borrowings and buying new machinery to improve product quality and efficiency. BDPL manufactures dental aligners, retainers, sleep apnoea devices, and sports guards in India, and reported revenue of Rs. 37.57 crore in FY24, up from Rs. 18.70 crore in FY23. There is no change in ownership — BDPL will remain a 100% subsidiary. The deal is expected to complete by May 21, 2025, and has been done at arm's length based on a registered valuer's report.
This is an internal capital infusion within the group and does not change the parent's ownership or consolidate anything new. For shareholders, the key takeaway is that Laxmi Dental is strengthening its dental products subsidiary by clearing its debt and funding capacity expansion, which could support future revenue growth in aligners and related devices.
