Laxmi Goldorna House Limited (LGHL) has announced that its Board, at a meeting held on June 7, 2025, approved a Modified Scheme of Amalgamation of its wholly owned subsidiary, Laxmi Infraspace Private Limited, with itself, under Section 233(1)(a) of the Companies Act, 2013. Since the transferor is a wholly owned subsidiary, the shares held by LGHL in Laxmi Infraspace will simply be cancelled and no new shares or cash consideration will be issued, meaning the shareholding pattern of LGHL will remain unchanged. The company also approved the notice for an Extra-Ordinary General Meeting and a meeting of creditors, and appointed M/s Nirav Shah & Associates as scrutinizer for the e-voting and postal ballot process.
